Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Cleverra's marketing automation and CRM platform (the "Service") provided by Eagle Intelligence Technologies LLC ("Cleverra," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Software as a Service (SaaS) Agreement

Important: This is a Software as a Service (SaaS) subscription agreement. Cleverra is provided exclusively as a cloud-based hosted service accessible via web browser. This agreement grants you a limited right to access and use the Service during your subscription period only.

No Software License: No software, source code, or executable files are provided, licensed, or transferred to you under this agreement. You do not receive any rights to install, download, copy, modify, or distribute any software. All software remains the exclusive property of Eagle Intelligence Technologies LLC.

Service Access Only: Your subscription provides access to use the hosted Service remotely via the internet. You have no right to access the underlying software, infrastructure, or technology except through the provided web interface.

Description of Service

Cleverra provides an all-in-one cloud-based marketing automation and customer relationship management platform that includes:

• Lead management and CRM
• Email marketing and automation
• Call center and support desk
• Payment processing
• Multi-channel communication
• Analytics and reporting
• And other features as described on our website

All features are delivered exclusively through our cloud infrastructure. No on-premises installation, software download, or local hosting is available or permitted.

Account Registration

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

Subscription and Payment

SaaS Subscription Model

The Service is provided exclusively on a subscription basis. You pay recurring fees for continued access to the hosted Service. These fees are for service access only and do not constitute:

• Software license fees or royalties
• Purchase or ownership of any software or technology
• Intellectual property transfer or licensing
• Payment for any downloadable or installable software

Billing

You will be billed in advance on a recurring basis (monthly, annually, or as otherwise specified) based on the subscription plan you select. All fees are for access to the cloud-hosted Service.

Payment Methods

You must provide valid payment information. By providing payment information, you authorize us to charge the applicable subscription fees to your payment method.

Fee Changes

We reserve the right to change our subscription fees with 30 days' notice to existing customers. Continued use of the Service after the fee change becomes effective constitutes your agreement to pay the modified amount.

Refunds

We offer a 30-day money-back guarantee for new subscriptions. Refund requests must be made within 30 days of initial purchase. After this period, subscription fees are non-refundable except as required by law.

Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. You will retain access to the Service until the end of your paid period. Upon cancellation, all access rights terminate and no software or technology is retained by you.

Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Send spam or unsolicited communications
• Distribute malware or harmful code
• Attempt to gain unauthorized access to the Service
• Interfere with the proper working of the Service
• Use the Service for illegal or fraudulent activities
• Harass, abuse, or harm another person
• Attempt to extract, download, or access the underlying software or source code
• Use the Service to develop a competing product or service
• Circumvent any technical limitations or access controls
• Resell or sublicense access to the Service without written permission

Data and Content

Your Data

You retain all rights to the data you upload to the Service ("Your Data"). You grant us a license to use Your Data solely to provide the Service to you.

Data Security

We implement reasonable security measures to protect Your Data. However, no system is completely secure, and we cannot guarantee absolute security.

Data Backup

We perform regular backups of Your Data. You are responsible for maintaining your own backups of Your Data.

Data Export

You may export Your Data at any time through our export features. Upon account closure, you have 90 days to export Your Data before it is permanently deleted.

Intellectual Property and License Grant

Service Ownership

The Service, including all software, source code, algorithms, technology, content, trademarks, and logos, is and remains the exclusive property of Eagle Intelligence Technologies LLC and our licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited Right to Access

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service via web browser during your subscription period.

No License to Software

This agreement is NOT a software license. You receive no license, right, or interest in any software, source code, or technology underlying the Service. You may not:

• Download, install, or execute any software on your own servers or devices
• Access the Service except through the provided web interface
• Reverse engineer, decompile, or disassemble any part of the Service
• Copy, modify, or create derivative works of the Service
• Rent, lease, sublicense, or transfer access to the Service
• Remove or obscure any proprietary notices
• Access the Service to build a competitive product or service

Subscription Model

All payments made under this agreement are service fees for access to hosted software, not royalties, license fees, or payments for intellectual property transfer. Upon termination of your subscription, all access rights immediately cease.

Service Level and Uptime

We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with advance notice.

We are not liable for service interruptions caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

Limitation of Liability

To the maximum extent permitted by law, Cleverra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.

Effect of Termination: Upon termination or expiration of your subscription:

• All access to the Service immediately ceases
• No software, technology, or intellectual property rights are retained by you
• You must cease all use of the Service and any materials provided
• Your Data will be available for export for 90 days, then permanently deleted
• All service fees paid are for services already rendered and are non-refundable (except as specified in our refund policy)

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, limitations of liability, and confidentiality obligations.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms and updating the "Last Updated" date.

Your continued use of the Service after changes become effective constitutes your acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.
